'BSD' means 265 Holdings Pty Ltd. 'Web Site' means the electronic page/s of information (also known as 'Web Pages') published on the Internet and includes any design, creation, programming and set-up of the electronic pages intended to appear to customers or users of the The Internet and includes any associated or attached facilities for information, communication, display, downloading and searching. 'Hosting' means the storage of the Web Site files on an Internet server computer to enable access and viewing by Internet users. 'Material' means text or other content, printed matter, information, logos, photographs supplied by the client to be used by 'BSD' in the production of the website.
1. The FULL setup amount due shall be paid to 'BSD' upon placement of the website order.
2. The prices quoted in this agreement are valid for 30 days after signing of this agreement. The client shall pay to 'BSD' any additional fees reasonably required for any cost increases caused by the clients' delay in providing materials to 'BSD'.
3. Initial term of 12 months applies to this Agreement. If you cancel your Agreement inside your minimum term an early termination fee will apply calculated as the access charges for the remaining months of the term. Minimum cost over 12 month Agreement is $361.90 including GST ($163.90 setup plus 12 monthly payments of $16.50)
4. After initial 12 months term, unless the client cancels this agreement with one months notice in writing, BSD will continue to provide the services and the client agrees to pay the agreed monthly payment fee.
5. 'BSD' reserves the right to change prices fees after initial 12 months period subject to notifying customer in writing.
6. Domain Name renewal offer is only valid if applicant remains a 'BSD' customer prior to and for a period of 12 months after the domain name renewal date.
7. 'BSD' shall provide the items in the schedule provided that it shall not be obliged to do so if the client defaults in payment or in supply of material reasonably requested or required to be supplied to 'BSD' or until such default is remedied to the satisfaction of 'BSD'.
8. The client shall provide material to 'BSD' as required. If the client does not provide requested material within 90 days of this agreement then all monies for work performed will be become immediately due and payable OR deposit monies paid by the client shall be forfieted to 'BSD' and the agreement will then become null and void.
9. The client shall pay to 'BSD' any additional fees reasonably required for any and all extra work requested by the client or caused by the client's alterations and for any change or correction to text, graphics or similar material supplied by the client and which alterations are necessary to ensure properly finished work or for any special graphic design, programming or similar work performed by 'BSD'.
10. 'BSD' has the absolute discretion and reserves the right to possess and use totally the artistic licence in the design, layout, format and colour of the Web Site and its contents and to delete or alter any Web Site without notifying the client if the deletion or alteration is necessary to conform with the requirements or standards from time to time imposed by 'BSD' or otherwise.
11. 'BSD' retains copyright of the web site including any design, creation, programming code and set-up of the electronic pages intended to appear to customers or users of the The Internet and includes any associated or attached facilities for information, communication, display, downloading and searching.
12. If the Web Site contains an error, alteration, omission or is delayed, 'BSD' shall incur no liability for loss or damage whatsoever to the client. 'BSD's' liability shall be limited to making good the Web Site or at 'BSD's' absolute discretion, cancelling this agreement and refunding any monies paid. It is the responsibility of the client to notify 'BSD' of an error immediately it appears.
13. Any film, bromide, artwork or any other material supplied by the client shall be held at the client's risk and should be collected immediately after completion of the Web Site and 'BSD' shall not be liable whatsoever for loss of, or damage to such property or material unless otherwise agreed in writing.
14. Should the client request cancellation of the Web Site or the Web Site publication or hosting after completion, the total price shown in the schedule is still payable.
15. Publication material for use in Web Site publications is accepted on the condition that the client is licensed or is permitted or authorised to use the business name trade name trade mark logo photographs illustrations comprising or forming part of the publication and that any act or thing required to be done or omitted by 'BSD' at the request or direction of the client will not be false or misleading or breach the Trade Practices Act 1974 or breach copyright or infringe trademark or infringe privacy or defame or in any way whatsoever render 'BSD' liable or expose 'BSD' to prosecution or other action under any federal, state or territory legislation or at common law and to indemnify and agree to keep indemnified and hold 'BSD' harmless against all actions, claims, fines, penalties, damages, loss, demands, suits, liabilities, costs or expenses of any nature howsoever caused whether by negligence or otherwise from the use of or publication of or acceptance for publication of the publication material, publication. This Warranty and Indemnity is deemed to be included in each submission of publication material.
